- Prestariang Berhad 10th Annual General Meeting and Extraordinary General Meeting
25 November 2020 – Prestariang Berhad held both of its 10th Annual General Meeting (AGM) and Extraordinary General Meeting (EGM) on a fully virtual basis, which were broadcasted at 12th Floor, Menara Symphony, No. 5, Jalan Prof. Khoo Kay Kim, Seksyen 13, 46200 Petaling Jaya, Selangor Darul Ehsan, Malaysia. The virtual AGM was held to pass a total of eleven (11) resolutions, namely; Resolution 1: To approve the payment of Directors’ fees of RM330,000.00 for the financial year ended 30 June 2020; Resolution 2: To approve the payment of Directors’ fees of RM450,000.00 for the financial year ending 30 June 2021; Resolution 3: To approve the payment of Directors’ benefits up to an amount of RM153,000.00 from 26 November 2020 until the next Annual General Meeting of the Company; Resolution 4 and 5: To re-elect the following Directors who are retiring pursuant to Clause 119 of the Company’s Constitution and being eligible, have offered themselves for re-election:- Mr. Chan Wan Siew; and Dr. Abu Hasan Bin Ismail Resolutions 6 and 7: To re-elect the following Directors who are retiring pursuant to Clause 118 of the Company’s Constitution and being eligible, have offered themselves for re-election:- Professor Emeritus Dato’ Dr. Hassan Bin Said; and Puan Hafidah Aman Binti Hashim Resolution 8: To re-appoint Messrs. Participated by advisors, guests, shareholders, and proxies, the meetings which commenced at 10.00 a.m. and 11.30 a.m. respectively, bridged the shareholders, Board of Directors and Management of the Group. Concluded at 5.00 p.m. the virtual AGM and EGM went smoothly with all eleven of the proposed resolutions which are set out in the Notice of AGM and the Proposed Change of Name, which was set in the Notice of EGM, carried by the way of poll voting.
- Prestariang Awarded Contract to Implement Selangor Kerjaya Program For 10,000 Job Seeking Malaysians
Prestariang Berhad (Prestariang), leading Technology and Talent Platform innovator, was awarded a contract by the MENTERI BESAR SELANGOR (PEMERBADANAN) to develop and implement the Selangor Kerjaya Program set to provide skills training and job placement for 10,000 job seeking Malaysians residing in Selangor. Prestariang’s wholly owned subsidiary Prestariang Systems Sdn Bhd (PSSB) which received the contract will recruit, train and organise job placements for job seekers residing in Selangor and graduates from learning institutions in Selangor. The Contract will come to effect from 1 November 2020 starting with 2 months of mobilization period and will end 36 months thereafter. The contract has an estimated value of approximately RM50 million, of which, will be based on actual number of candidates successfully trained and placed. “The said contract is a major win for Prestariang Group as it represents the first significant project for the Group in this space and provide a new platform for Prestariang to venture deeper into the talent and employability industry. This will supplement Prestariang’s existing core business of technology and licensing and open new opportunities for the Group to explore potential recurring income growth”, said Dr. Abu Hasan Ismail, President and Group Chief Executive of Prestariang. The Selangor Kerjaya Program is a key state program where PSSB will not only provide training and job placements for job seekers but also provide Selangor state government with analytics and intelligence that will give the State a strategic advantage over its peers and will improve employment opportunities of its residence in future. The Contract is expected to contribute positively towards the earnings and net assets per share of Prestariang Group. Prestariang’s Technology business in software distribution is adding to its product offerings to include other product principals such as Amazon, Google and SAP. Several key products and services offering from these new principals are actively being promoted to our clients as we adapt to the changing market trends and needs of our customers. The Talent business of the Group continues to provide support to tech partners to drive customer adoption via training programs and converting conventional training programs into online training as a service or hybrid offerings supports the life-long learning journey while respecting social distancing rules. We remain confident that our offering of holistic talent services that includes recruitment, training, placement and talent management using technology such as talent profiling and matching will give us an edge in this space. Corporate Exercise on Track to complete by November 2020 Prestariang has announced a Proposed Fund Raising Exercise, which was approved by the shareholders on 15 September 2020. The fund raising comprised of a Private Placement of 79.6 million shares at an issue price of RM0.35 per share together with detachable warrants and a Rights Issue of 1 for 3 at an issue price of RM0.20 per share with detachable warrants. When completed, which is estimated to be by end November 2020, Prestariang hopes to raise a minimum amount of about RM38 million and a maximum of RM63 million for working capital to grow the Technology and Talent Divisions as well as improve our cash flow in anticipation of the challenging times ahead . Participated by advisors, guests, shareholders, and proxies, the meeting which commenced at 3.00 p.m. witnessed exchange of key concerns between the shareholders, Board of Directors and Management of the Group. No, we are not waging war against the tyranny, oppression, nor persecution from neighbouring nations or companies. We are battling for a chance to fight for another day against an invisible force that has been ravaging lives across the globe. We are glad that we have remained healthy and united (physical distance applied), with our masks up, hand sanitisers in our pockets, sanitized Jalur Gemilang in our hands, and our faces looking forward to a better day. With new COVID-19 cases trend getting steadily lower recently, we are convinced that Malaysian will emerge victorious in this war, so long as all of us remain united and we do our part in breaking the chain. Let us celebrate our similarities and put aside our differences to come together as one. Because, we are, first and foremost, Malaysian. Fully aware of it, Prestariang join forces with other brilliant minds to illuminate the way in driving the nation’s digital transformation. Moderated by Prestariang’s Vithia Paltore, participants were graced with the appearance of Nirmala Gopalakrishnan, Senior Service Deliver Manager, Skillsoft India; Dr Anis Suhailis Binti Abdul Kadir, Deputy Head of Cluster, i-IMATEC, INTAN; Estia Amy Nyopieh, Senior Manager, Leadership Institute of Sarawak Civil Service; and Dr Peter Lee, Director, Talent Division, Prestariang. - Prestariang Anti-Corruption Talk - Main Offenses of Corruption and Corporate Liability
From the very definition of gratification, the four main offenses of corruption, all the way to the horrifying truths behind the investigations faced by those unlucky enough to don the orange jumpsuit - Prestariang heard it all today from Malaysia Anti-Corruption Commission (MACC)'s Assistant Commissioner, Mohd Nur Lokman Bin Samigan in the Group's second Anti-Corruption Talk. Attended by Prestariang employees, the talk, held at Prestariang's corporate office is part of the Group's effort in ensuring Prestariang employees’ holistic understanding of corruption in light of the introduction of Section 17A within the MACC Act 2009. Assistant Commissioner, Mohd Nur Lokman Bin Samigan helped clear any air of uncertainty and ambiguity attendees of the talk had on the topic of corruption and gratification vide his insightful and informative presentation and interactive question and answer session. Deeply invested in promoting and encouraging better corporate governance and legal compliance within its day-to-day operations, Prestariang is set towards a successful adoption of the MACC Act 2009. This expectation is not only limited to Prestariang and its subsidiaries alone; but extends also to contractors, subcontractors, consultants, agents, representatives, and others performing work for or on behalf of Prestariang as well.

Just like how chicken rice is incomplete without the chicken, or how lonely tikka masalla is without biryani; what is Prestariang without all of its people. One cannot be whole without the other, and so does Prestariang - the Group cannot be complete without its valued people who have been the very core of the business successes over the years. With a 'free and easy' setting, the appreciation lunch was held at Grand Hyatt, Kuala Lumpur on 8th July 2020 to celebrate the partnership and camaraderie built over the years between Prestariang and its people. Attended by Prestariang's Board of Directors, members of its Management, employees and former employees, the JP Teres of the Grand Hyatt was filled with chatters and clangs as the guests help themselves with a generous portion of a four-course lunch. May this relaxing noon be an avenue for Prestariang and its people to strengthen their bonds and nurture their relationships further for many successes to come.
- Prestariang Anti-Corruption Talk - Controls and Procedures under the MACC Act 2018
Section 17A of the Malaysian Anti-Corruption Commission Act 2009 (“MACC Act 2009”) came into effect on 1 June 2020 and is the latest amendment that has been introduced in the MACC Act 2009. Under this provision, essentially, directors and senior management are liable for the actions of the company if it is involved in bribery unless it can prove that it has successfully implemented adequate procedures to prevent bribery from happening. On 19 June 2020, an anti-corruption and bribery talk, “Controls and Procedures under the Malaysian Anti-Corruption Commission (Amendment) Act 2018” was held at Prestariang’s corporate office in Star Central, Cyberjaya was delivered by Prestariang's Senior Manager, Legal and Corporate Governance, Sherliza Samantha Asli, to brief Prestariang's staff and protege trainees regarding the inclusion of the Corporate Liability Provision into the MACC Act 2009. This is to ensure the employee’s holistic understanding of the new provision to promote and encourage better corporate governance and legal compliance.
- Prestariang Secure Additional Purchase by Malaysian Tax Academy
Leading Technology and Talent Innovator, Prestariang Berhad chalked an increase in its order book, as its wholly-owned subsidiary Prestariang Systems Sdn Bhd (PSSB) secured an additional purchase of e-learning licenses amounting to RM 250,000 - ten times of the initial purchase made by Malaysian Tax Academy (MTA) to accommodate its Digital Learning Hub. MTA back in November, has awarded PSSB with the System Procurement Contract for the Company to supply e-learning licenses in driving its Digital Learning Hub initiative which spans for a period of three years – from December 2019 until November 2022. The initiative aims for a continuous development of Lembaga Hasil Dalam Negeri (LHDN) human resources, via e-learning that is tailored for future's demand – In line with MTA’s aspiration to continuously develop sustainable pool of professionals and experts for LHDN. Leveraging on the advanced e-learning platform and Prestariang’s support, MTA learners are enabled to discover and master various contents in directing their learning direction independently. “For us (Prestariang), the additional order is a direct result of our dedication in realising customer’s aspiration to propel the competency of their human capital” said Dr Peter Lee Fuei Siong, Director, Talent and Development, Prestariang. “It is a manifestation of Prestariang’s strong commitment, coupled with the client’s satisfaction with our support” he added.
- Prestariang Embraces Section 17A, Malaysian Anti-Corruption Act 2009

Following the passing of Section 17A of the Malaysian Anti-Corruption Commission (MACC) Act 2009, Prestariang has incorporated the new provision into Prestariang’s Anti-Bribery and Corruption Guidelines (“PABC Manual”); which elaborates on those principles. This provision is a new dawn in the combat against corruption – a necessary move to drive the nation’s sustainable economy ahead. And Prestariang is proud to be a part of the cause. The purpose of this PABC Manual is to provide guidance to employees of Prestariang and/or any person(s) associated with Prestariang (such as business associates, partners, agents, vendors, suppliers, contractors, consultants and any other third party service providers or persons who perform services for or on behalf of the Group, hereinafter referred to as “Associates”) concerning how to deal with bribery and corruption and related issues that may arise in the course of business. This PABC Manual reiterates and reflects Prestariang’s steadfast, long standing commitment to conduct its business dealings with integrity, accountability and fairness to ensure its employees’ and Associates’ full compliance with the Malaysian Anti-Corruption Commission (MACC) Act 2009 and the MACC (Amendment) Act 2018 and any other local anti-bribery or anti-corruption laws that may be applicable.
